TutorWrap

Terms of Service

Effective 10 October 2026

These terms are a contract between you and Sigil Digital Limited ("Sigil", "we", "us"), a private limited company registered in Nigeria with the Corporate Affairs Commission under number RC 9590426, of 28B Alhaji Kareem Street, Olowora, Kosofe, Lagos State, Nigeria, for the TutorWrap service at tutorwrap.com. By creating an account, ticking the box at sign-up or using TutorWrap, you agree to them, together with our Privacy Policy, Cookie Notice and Data Processing Addendum, which form part of these terms. If you use TutorWrap for a tutoring business, you confirm you have authority to bind that business and "you" means the business too.

1. Eligibility and your account

You must be at least 18 and provide accurate details, kept up to date. TutorWrap is for people who tutor professionally or as a business, including sole traders; it is not for consumers' personal use.

One account is for one tutor. Tutoring agencies or teams that need several tutors should contact us. You are responsible for keeping your sign-in secure and for everything done through your account. Tell us at once if you believe your account has been accessed without your permission.

2. The service

TutorWrap lets you record lessons, generates a parent-friendly summary from what you enter, sends it to the guardians you choose by email, SMS or WhatsApp, tracks learning goals, builds progress reports, and gives each guardian a private progress page. It also offers optional calendar reminders and AI assist.

TutorWrap is a tool for tutors. We do not provide tutoring, do not vet tutors, students or guardians, and are not a party to the relationship between you and the families you work with. You are responsible for the accuracy and appropriateness of everything you record and send. Review every summary, report and suggestion before it goes out; what you send is yours.

3. Your responsibilities to parents and students

Most students are children, and the information you enter about them and their families is personal information that you control. You confirm that:

  • you have a lawful basis, and where the law requires it the consent of the parent or guardian, to record information about each student and to enter each guardian's contact details and send them updates;
  • before choosing SMS or WhatsApp for a guardian you have obtained their express consent to receive text updates from you, and you will keep a record of it. The consent box in TutorWrap records that you have done this; it is not a substitute for asking;
  • you will honour opt-outs. When a guardian unsubscribes or replies STOP you must not re-add them or contact them through TutorWrap on that channel;
  • you will not record special category data (health, religion, ethnicity, sexual orientation, biometrics) about students or families, in notes, custom attributes or anywhere else, unless the law allows you to and the parent has agreed;
  • photos you upload or share, and photos you invite students to upload at check-in, show the student's work rather than the student, and you have the parent's permission to store and share them;
  • you will turn off the student check-in for any student whose parent does not want it;
  • you will tell us promptly if a guardian or student asks you to delete their information and you need our help to do it.

You must not send anything through TutorWrap that is unlawful, misleading, abusive, discriminatory or unrelated to the student's tutoring. Private notes are for you alone and are never sent, but they must still be lawful and respectful, and the student or their parents may be entitled to see them under data protection law.

4. Messaging, channels and credits

Email updates are unlimited. SMS and WhatsApp updates use message credits. Each paid plan includes a monthly allowance (Solo 50, Starter 200, Pro 600) and trial accounts start with 20 credits. You can buy credit packs at any time. Credits are added to your balance at each renewal and do not expire while your account is active; we may introduce an expiry for unused monthly allowances with at least 30 days' notice. Credits have no cash value and are not refundable except where the law requires. When you have no credits, or a guardian's number or consent is missing, the update falls back to email.

SMS and WhatsApp are delivered through Twilio and are subject to mobile network and WhatsApp rules. Some countries block alphanumeric senders or require registration, WhatsApp requires approved templates, and delivery can be delayed or refused by carriers. WhatsApp is available only where we have switched it on. We show you delivery status for every message but cannot guarantee delivery.

You may use TutorWrap only to send lesson updates, reports and related messages to the guardians of your own students. You may not use it for marketing, bulk messaging, political or charitable solicitation, or to contact anyone who is not a guardian of a student you teach. We may suspend messaging if a carrier, Twilio, Resend or WhatsApp reports abuse, high complaint rates or policy breaches from your account.

5. AI assist

AI assist can suggest goal steps, a next-lesson focus line and session fields from a dictated note. Suggestions are generated by third-party language and speech models (currently Anthropic and Deepgram) from a deliberately narrow set of information described in our Privacy Policy. They may be wrong, generic or inappropriate for a particular student. They are drafts: you must review and edit them before relying on them or sending anything to a parent, and you are responsible for what you send.

Do not dictate or enter information you would not want processed by those providers, in particular sensitive information about a student's health or family. There is a daily cap on requests per account. We may change, limit or withdraw AI assist at any time; it is not part of what you pay for and its absence is not a fault in the service. We do not use your content to train models and prohibit our providers from doing so.

6. Calendar connections

Connecting a calendar is optional and read-only. We only use it to remind you to log a session after an event on a calendar you ticked has ended. You can disconnect at any time. Use of Google data is also subject to our Privacy Policy, including the Google Limited Use commitment there. Reminders depend on the calendar provider delivering change notifications and may be late or missing; they are a convenience, not a record.

7. Plans, trial and fees

New accounts get a 14-day free trial with no card required. The trial has the Starter plan's limits. After it ends you need a paid plan to keep sending updates and adding students; your data is kept and you can still sign in, export and delete it.

Plans (Solo, Starter and Pro) are billed monthly in advance in your billing currency at the price shown on the Pricing page when you subscribe. Each plan has a student limit (Solo 5, Starter 15, Pro unlimited) and a monthly credit allowance. Prices are set per currency and are not converted; they may differ between countries.

Payment. For USD, GBP and EUR, purchases are made from Lemon Squeezy, LLC, which acts as the merchant of record: Lemon Squeezy is the seller, issues your invoice, collects any VAT or sales tax, and its terms of sale apply to the purchase. For NGN, payments are processed by Paystack. You authorise the relevant provider to charge your payment method each billing period until you cancel.

Taxes. Prices exclude taxes unless the checkout says otherwise. Where the merchant of record or we are required to collect VAT, sales tax or similar, it is added at checkout.

Price changes. We may change prices or plan limits with at least 30 days' notice by email. The new price applies from your next renewal after the notice period. If you do not agree, cancel before then.

Failed payments. If a payment fails we will retry and email you. While a payment is overdue we may limit adding students and buying credits; existing updates and your data stay available. If payment is not made within 30 days we may downgrade the account.

Referral and partner codes. A referral code gives the new tutor the stated discount (currently 50% for the first month) and the referring tutor a reward (currently one month free) once the referred tutor's first payment succeeds. Partner codes carry the discount and period stated when issued. Codes are for genuine new customers; we may withhold or reverse rewards for self-referrals, duplicate accounts or abuse.

8. Student limits and grace

If you go over your plan's student limit you get a 7-day grace period during which everything keeps working. After that you cannot add students until you upgrade or archive students. Logging sessions and sending updates are never blocked by the student limit.

9. Cancellation and refunds

You can cancel at any time from Billing. Your plan stays active until the end of the paid period and does not renew. Fees already paid are not refunded, except where the law gives you a right to one, or where we end the service or materially reduce it during a paid period, in which case we will refund the unused part. Refund requests for card purchases are handled by Lemon Squeezy as merchant of record; we will help you with them.

If you are a consumer under the law of your country and that law gives you a 14-day cancellation right, you ask us to start the service immediately when you sign up, and you accept that if you cancel within 14 days you pay for the part of the period already provided.

10. Your content and data

You own the information you and your parents and students enter ("your content"). You give us a non-exclusive, worldwide licence to host, copy, process, transmit and display your content only as needed to provide the service to you, to comply with the law and to enforce these terms. We may produce aggregated, de-identified statistics about how TutorWrap is used; these never identify you, a student or a guardian.

For personal information in your content you are the controller and we are your processor. Our Data Processing Addendum sets out our obligations and is incorporated into these terms. You can export your student list at any time and request a copy of your other data by email. On deletion of your account your content is deleted as described in the Privacy Policy. Keep your own records: TutorWrap is not a system of record for legal, safeguarding or tax purposes.

11. Our intellectual property and your licence

TutorWrap, its software, design, copy, templates and trade marks belong to us or our licensors. Subject to these terms we grant you a limited, non-exclusive, non-transferable, revocable licence to use TutorWrap for your tutoring business. You may not copy, modify, reverse-engineer, scrape, resell, sublicense or build a competing service from it, remove notices, or use our name or logo without permission, except where the law allows.

If you send us feedback or suggestions you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation to you.

12. Acceptable use

Do not use TutorWrap to: break the law or anyone's rights; send bulk, marketing or unsolicited messages; contact people who are not guardians of your students; upload malware or attempt to access another tutor's data; probe, overload or interfere with the service; share progress page links publicly; create accounts for others or circumvent limits with multiple accounts; or use the service for anything other than tutoring communication.

13. Third-party services

Delivery depends on providers we do not control: mobile networks, WhatsApp, email services, Google, Microsoft, our payment providers and AI providers. Their terms apply to your use of their services through TutorWrap. We will work to deliver every update but cannot guarantee delivery where a provider blocks, delays or rejects a message, where a guardian's details are wrong, or where a provider withdraws a service. We are not responsible for third-party services or for your relationships with other users.

14. Availability and changes to the service

We aim to keep TutorWrap available at all times but do not promise uninterrupted or error-free service. We may need to take it down for maintenance, and we will try to give notice. We may change, add or withdraw features; if a change materially reduces what you pay for we will tell you at least 30 days ahead and you may cancel for a pro-rata refund of the remaining period.

15. Suspension and termination

You can delete your account at any time from Settings. We may suspend or close your account if you break these terms, if your use creates legal or security risk for us, other tutors or families, if a provider requires it, or if payment is overdue after notice. Where practical we will warn you first and give you a chance to fix the problem. On closure your data is deleted as described in the Privacy Policy. Sections 3, 5, 10, 11 and 16 to 21 survive termination.

16. Warranties and disclaimers

We will provide TutorWrap with reasonable skill and care. Beyond that, and to the fullest extent the law allows, TutorWrap is provided as is and as available, and we exclude all implied warranties, including satisfactory quality, fitness for purpose and non-infringement. We do not warrant that summaries, reports or AI suggestions are accurate or suitable, that messages will be delivered, or that the service will meet your requirements.

17. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Subject to that, we are not liable for loss of profit, business, goodwill or data, for undelivered or late messages, for anything a tutor sends to a family, or for any indirect or consequential loss. Our total liability to you for all claims arising in any 12-month period is limited to the fees you paid us in the 12 months before the first claim, or USD 100 (or the equivalent in your billing currency) if greater.

18. Indemnity

You will compensate us for losses, costs and reasonable legal fees arising from a third-party claim caused by your breach of section 3 (your responsibilities to parents and students), section 4 (messaging) or section 12 (acceptable use), including claims by guardians, students, regulators or carriers about messages you sent or information you recorded. We will tell you promptly about any such claim and let you take over its defence where appropriate.

19. Changes to these terms

We may update these terms. For material changes we will email you at least 14 days before they take effect. If you do not agree, cancel before that date; continued use afterwards means you accept the new terms. Changes required by law or to add a feature may take effect sooner.

20. Governing law and disputes

These terms are governed by the laws of England and Wales. If you have a problem, email us first and we will try to resolve it informally within 30 days. Failing that, the courts of England and Wales have exclusive jurisdiction, except that if the law of the country where you live gives you the right to bring proceedings there, or additional protections that cannot be excluded, you keep those rights.

21. General

These terms, with the documents they incorporate, are the whole agreement between you and us about TutorWrap. If any part is unenforceable the rest still applies. Our not enforcing a term is not a waiver. You may not transfer these terms without our consent; we may transfer them to a successor of our business on notice. Notices to you go to the email on your account; notices to us go to [email protected]. You agree to receive communications from us electronically.
